UPDATED: Diamond bank’s Eurobond rallies after Access acquisition

The yields on Diamond bank Plc’s $200 million Eurobond closed lower at 26.02 percent Monday, according to FMDQ data, as investors reacted positively to the acquisition of the retail lender by Access Bank Plc.

The acquisition means Access bank, which is now the largest bank by assets, has acquired the assets and liabilities of Diamond bank and will now be the one to pay international creditors for the loan taken in 2014 and falls due next May.

Some investors will be beating themselves for not betting on the Eurobond at a time foreign sell-offs intensified and yields climbed as high as 31 percent late November, which was three times higher than the 10.9 percent average yield on the outstanding Eurobonds of other local banks.

Investors who could stomach the risk associated with the Eurobond that was downgraded to junk in the space of one month by the three largest credit ratings agencies S&P’s, Moody’s and Fitch, have made a killing.

BusinessDay had reported last week that the Eurobond could present an opportunity for investors seeing the price had slumped to 92 as against a par value of 100, than six months to maturity.

 

Access Bank confirmed news of a merger with Diamond bank Monday after saying it signed a Memorandum of Agreement with Diamond Bank, a deal that could create Nigeria and Africa’s largest retail bank by customers.

Access said in a statement that it emerged the preferred bidder after a competitive process undertaken by the Board of Diamond Bank.

“The proposed merger would involve Access Bank acquiring the entire issued share capital of Diamond Bank in exchange for a combination of cash and shares in Access Bank via a Scheme of Merger,” Access bank said.

Based on the agreement reached by the Boards of the two financial institutions, Diamond Bank shareholders will receive N3.13 per share, comprising
i. a cash consideration of N1.00 (one Naira) per Diamond Bank Share representing a total cash amount of N23,160,388,968 (twenty-three billion, one hundred and sixty million, three hundred and eighty-eight thousand, nine hundred and sixty-eight Naira), or US$ 75,588,736.84 (seventy five million, five hundred and eighty eight thousand, seven hundred and thirty six dollars and eighty four cents) and;
ii. the allotment of 6,617,253,991 (six billion, six hundred and seventeen million two hundred and fifty-three thousand, nine hundred and ninety-one) new Access Bank ordinary shares, representing the 2 new Access Bank ordinary shares for every 7 Diamond Bank shares.

The offer represents a premium of 260% to the closing market price of N0.87 per share of Diamond Bank on the Nigerian Stock Exchange as of December 13, 2018, the date of the final binding offer.

The completion of a transaction would be subject to formal regulatory and shareholder approvals.
